1. Acceptance of Terms

By accessing or using SIÁN OÜ's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services. These terms constitute a legally binding agreement between you (the "Client") and SIÁN OÜ (the "Company"), a private limited company registered in Estonia.

2. Service Description

SIÁN OÜ provides AI-powered web scraping and data intelligence services exclusively to business clients (B2B) including:

• Automated web data extraction
• Data processing and transformation
• Real-time data monitoring
• API integration services
• Custom data solutions

3. User Responsibilities

As a user of our services, you agree to:

• Provide accurate and complete information
• Comply with all applicable laws and regulations
• Respect website terms of service and robots.txt files
• Implement appropriate rate limiting and request delays
• Not use our services for illegal or harmful purposes
• Maintain the security of your account credentials

4. Payment Terms

Project-Based Pricing

Our services are offered on a project-based pricing model with the following terms:

• Fees are determined per project and agreed upon before work begins
• Payment is accepted via Wise, bank transfer, or invoice
• All fees are non-refundable once work has commenced
• Payment terms will be specified in individual project agreements
• We reserve the right to suspend services for non-payment

No Refund Policy

All payments are final and non-refundable once the project has been initiated. Clients are encouraged to review project scopes and pricing before committing to services.

5. Intellectual Property

The service and its original content, features, and functionality are owned by SIÁN OÜ and are protected by international copyright, trademark, patent, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our services without our express written permission.

6. Data Ownership and Usage

Scraped Data

You retain ownership of data scraped through our services, subject to the original data source's terms of service and applicable laws. We do not claim ownership of your scraped data.

Service Data

We may collect anonymized usage data to improve our services. This data does not include your specific scraped content or personal information.

7. Service Availability

We strive to maintain high service availability but cannot guarantee 100% uptime. Service availability may be affected by:

• Scheduled maintenance (with advance notice)
• Target website changes or outages
• Force majeure events
• Technical issues beyond our reasonable control

8. Prohibited Uses

You may not use our services to:

• Scrape personal data without legal basis
• Violate copyright or intellectual property rights
• Scrape password-protected or private content
• Overwhelm target servers with excessive requests
• Scrape competitors' data for unfair advantage
• Create false identities or misleading information
• Interfere with other users' service access

9. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which forms part of these terms.

10. Limitation of Liability

To the maximum extent permitted by Estonian law and EU regulations, SIÁN OÜ shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of our services.

Our total liability for any claims arising from these terms shall not exceed the amount you paid for our services in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold SIÁN OÜ, its directors, employees, and agents harmless from any claims, damages, liabilities, or expenses (including reasonable legal fees) arising from your use of our services or violation of these terms.

12. Termination

We may terminate or suspend your account immediately if you:

• Violate these terms of service
• Use our services for illegal purposes
• Fail to pay required fees
• Compromise service security or stability

You may terminate a project agreement in accordance with the terms specified in the individual project contract. SIÁN OÜ reserves the right to retain payment for work completed prior to termination.

13. Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to its conflict of law provisions.

Any disputes arising from these terms shall first be resolved through good faith negotiations between the parties. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Harju County, Tallinn, Estonia.

For international clients, the parties may mutually agree to resolve disputes through binding arbitration under the rules of the Tallinn Chamber of Commerce and Industry.

14. Changes to Terms

We may update these terms periodically. We will notify you of significant changes via email or website notice. Continued use of our services constitutes acceptance of any changes.
